The Client : The company or individual requesting the rental of a website that is maintained by Armatrix
Armatrix : Primary designer and rental website owner including employees or affiliates.
Rental Website : The domain name, programming code, email addresses, hosting, customized written content, all images and design elements including themes and plugins.
General Terms and SEO
Armatrix will carry out customization work only where an agreement is provided either by Paypal payment, email, telephone or mail. Armatrix will only rent websites to clients who are 19 years of age or above. An ‘order’ is deemed to be a written or verbal contract between Armatrix and the client, this includes telephone and email agreements. When the client has agreed rent a website, the website is rented in ‘as-is’ condition, any changes to the design requested by the client will incur a fee for customization based on the time required to make the changes.
Armatrix does not guarantee any particular position or ranking on any search engine. The ranking of your site is very important to us and we do monitor your rental website’s position. Armatrix will regularly perform audits and maintenance on your rental website to maintain a reasonable performance with search engines. Your rental website has already been submitted to all major search engines and your website search engine optimization (SEO) is included in the rental costs. It is important that the client does not attempt additional off-site search engine optimization such as buying links, buying traffic, buying social media signals such as Facebook likes as they will be in conflict with the strategic plan which is already in place for your rented website. The effects of the client engaging in additional off-site search engine optimization will likely be poor performance with search engines. If repair of a rental website is required, such as disavowing paid links, which has been caused by the client performing additional off-site search engine optimization, the client is responsible for the cost of the repair.
Website Design and Rental
Whilst every endeavor will be made to ensure that the rental website and any scripts or programs are free of errors, Armatrix cannot accept responsibility for any losses incurred due to malfunction of the website or any part of it. Armatrix uses a reputable and reliable third party hosting service for all rental websites, however Armatrix cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss. From time to time WordPress as well as the theme and plugins used to create the rental website will need to be updated, Armatrix will perform updates as deemed appropriate by Armatrix to maintain website stability, security and performance with search engines.
Sometimes required WordPress updates cause plugins to malfunction or stop working altogether, Armatrix cannot accept responsibility for any losses incurred due to malfunctions or downtime caused by updates, however Armatix will perform the required maintenance to ensure the stability of the rental website, this may mean removing or replacing a theme or plugin without consulting the client. Themes and plugins effect the appearance and functionality of the rental website, Armatrix reserves the right to make changes to all aspects of the rental website at any time for any reason including; themes, plugins, photos, written content and code. The primary reasons Armatrix would make changes to the rental website without consulting the client are; to maintain or reestablish website stability and to maintain or improve performance of the website with search engines. Armatrix will endeavour to ensure that the rental website will function correctly on the server it is installed in and that it will function correctly when viewed in all major internet browsers. Armatrix can offer no guarantees of correct function with all browser software.
The rental website remains the property of Armatrix during and after the rental period, rental fees are not considered a payment toward the outright purchase of a rental website. Any written content, email addresses, development code, search engine optimization, scripts, cgi applications, php scripts, or software (unless specifically agreed) written or used by Armatrix for a rental website remain the copyright of Armatrix and may only be commercially reproduced or resold with the permission of Armatrix. It is expressly stated that the client may not reproduce the images, design, written content and or search engine optimization of the rental website on another website, during or after the rental period. Copyright infringement in such a way on the part of the client will result in legal recourse by Armatrix for damages including loss of rental income.
Armatrix does not take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material. We reserve the right to remove such offensive content and refuse service on such site until the issue is resolved.
Control, Customization and Cancellation
Armatrix maintains complete control of the rental website at all times. The client must contact Armatrix to request customization to the rental website. The fee for customization is based on time, the hourly rate for customization is $75 per hour. Prices are subject to change without notice. Armatrix reserves the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial. Armatrix is in no way obligated to disclose strategy or search engine optimization details for the rental website with the client at any time.
If the client wishes to cancel their rental contract with Armatrix we ask that the client give Armatrix the opportunity to address any issues before canceling; the client is not obligated to give any notice to Armatrix to terminate the rental agreement. The client’s logo, business name, business location, contact information, links to social media accounts, email addresses and customized content will be maintained on the rental website until the end of the period that the client has paid for. In the event the agreement is terminated between Armatrix and the client, the copyright clause will survive, and Armatrix is in no way obligated to re-rent the website to the client. Armatrix reserves the right to terminate the rental agreement for any reason providing the client with 30 days notice.
Payment of Accounts
A non refundable rental payment is required from any new client before any work is carried out. It is the policy of Armatrix that any outstanding accounts for work carried out by Armatrix are required to be paid in full, no later than 30 days from the date of the invoice unless by prior arrangement with Armatrix. Once customization work is completed by Armatrix the client is obliged to pay the balance of payment in full. Armatrix will contact clients via email and telephone to remind them of such payments if they are not received when due.
Once the first months rent has been paid you will start your ‘standing order payments’ from the same calendar day of the next month and each consecutive month thereafter. Armatrix will contact clients via email and telephone to remind them of such payments if they are not received when due. If accounts are not settled or Armatrix has not been contacted regarding the delay, content from the related website may be changed, customized web pages may be removed and the agreement may be terminated.
We do not share or sell any of your details with third party companies, without your express permission and we will only email you or contact you about work related matters.
Informal complaints procedure: Anyone who experiences a problem with their web service provided by Armatrix should raise the matter directly using our online contact form to do so, giving sufficient information to locate the material (such as an URL) and clearly outlining the grounds for complaint. Armatrix will approach each individual responsible for the material in question with a view to resolving the matter to the satisfaction of the complainant.
Formal complaints procedure: The formal complaints procedure should only be used where the complainant feels that the nature of the complaint is too serious to be dealt with informally, or where a satisfactory conclusion has not been reached after following the informal procedure. A formal complaint should be made in writing to Armatrix, who will acknowledge receipt and ensure that the matter is looked into as soon as possible. An initial response to any complaint can be expected within seven days of its receipt; a full and considered response to the complaint should be completed within 30 days and any subsequent remedy implemented with the minimum of delay.
In the unlikely event a duspute between Armatrix and the client requires legal action, Armatrix reserves the right to determine the jurisdiction and location of the proceedings. Any such claims will be heard in Victoria, British Columbia, Canada in Small Claims Court or the Supreme Court of Canada depending on the nature of the dispute and damages.
Changes to the Rental Agreement
Armatrix reserves the right to modify the terms of the rental agreement with the client from time to time without notifying the client. Such changes will be posted and made available to the client upon request.
